Terms and Conditions

1) Eligibility

You must be at least 13 years old (or older if required by your jurisdiction) to use the Service.

2) Accounts

• You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.
• You agree to provide accurate information and keep it updated.
• We may suspend or terminate access for violations of these Terms or to protect the Service.

3) Subscriptions, billing, and payments (Stripe) — California auto-renewal disclosures

If the Service offers paid subscriptions or recurring billing:

• Payment processor: Payments are processed by Stripe. We do not store full card numbers.
• Recurring charges: Your subscription will continue and automatically renew until you cancel, and you authorize Stripe to charge your payment method at each renewal.
• Pricing and renewal terms: The price, billing interval, and included limits/features are presented during checkout and/or in your account.
• Cancel anytime: You can cancel renewal through your account settings (if available) or by emailing zihaoyedev@gmail.com. Cancellation stops future renewals; access may continue until the end of the paid period.
• Changes: We may change prices or plan features. If required, we will provide notice and changes generally apply at the next renewal.
• Refunds: Unless required by law, fees are non-refundable once charged. If you believe a charge is an error, contact zihaoyedev@gmail.com.

4) Your content

You may upload audio/video and generate transcripts, translations, subtitles, and other materials ("User Content").

• Ownership: You retain ownership of your User Content.
• License to operate: You grant us a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display User Content only as necessary to provide and improve the Service and to deliver outputs back to you.
• Your responsibility: You represent you have all rights needed to upload and process User Content and that it does not violate any law or third-party rights.

5) Acceptable use

You agree not to:

• Violate any law or third-party rights (copyright, privacy, etc.)
• Upload unlawful, harmful, or abusive content
• Attempt to hack, disrupt, reverse engineer, or bypass security/usage limits
• Use automated means to scrape/bulk extract the Service without permission

6) Intellectual property

The Service (software, design, branding, and non-User Content) is owned by us or our licensors and is protected by law. These Terms do not transfer ownership to you.

7) Copyright complaints (DMCA)

If you believe content infringes your copyright, email zihaoyedev@gmail.com with:

• Identification of the copyrighted work
• Identification of the allegedly infringing material and its location
• Your contact information
• A statement of good-faith belief
• A statement under penalty of perjury that the notice is accurate and you are authorized
• Your physical or electronic signature

8) Service availability and changes

The Service is provided "as is" and "as available." We may modify, suspend, or discontinue features at any time.

9) Third-party services

The Service may integrate with third parties (e.g., Stripe). Your use of those services is governed by their own terms and policies, and we are not responsible for them.

10) Disclaimer of warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee outputs (transcripts/translations/subtitles) will be error-free.

11) Limitation of liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim will not exceed the greater of (a) amounts you paid us in the 12 months before the event or (b) $100.

Some jurisdictions (including California in certain contexts) may not allow some limitations; in that case, limitations apply to the maximum extent permitted.

12) Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms or third-party rights.

13) Termination

You may stop using the Service at any time. We may suspend or terminate access for violations, security, or legal reasons. Sections intended to survive (IP, disclaimers, limitation of liability, etc.) will survive.

14) Privacy

Your use of the Service is also governed by our Privacy Policy.

15) Governing law and venue (California)

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

Unless otherwise required by applicable law, you agree that any dispute not subject to mandatory arbitration (if an arbitration clause is added) will be brought in the state or federal courts located in California, and you consent to personal jurisdiction there.

16) California consumer notice (Cal. Civ. Code § 1789.3)

Under California Civil Code § 1789.3, California users are entitled to the following consumer rights notice:

17) Changes to these Terms

We may update these Terms from time to time. We will update the Effective date above. Continued use after changes means you accept the updated Terms.
